Experience -
- Minimum 20 years of cumulative relevant professional experience in
corporate and transactional law, mergers and acquisitions, privatization, and
regulatory affairs.
- Proven experience in leading legal departments or providing high-level legal
advisory services within commercial or public sector organizations.
- Valid license to practice before the High Court; possession of a Supreme
Court license will be preferred.
Education -
LLM (local or foreign), Barrister-at-Law/ Solicitor or equivalent. LLB from a
recognized institution is mandatory.
Details -
- Lead the legal oversight of all privatization transactions, including review
and approval of legal structures, documentation, and contractual
frameworks.
- Ensure comprehensive legal due diligence for each transaction and
address legal risks proactively.
- Oversee and resolve ongoing litigations involving the Commission,
ensuring favourable outcomes and effective case management.
- Ensure compliance of all transactions with national laws, regulatory
frameworks, and sectoral authorities (SECP, NEPRA, OGRA, SBP, etc.).
- Draft, review, and negotiate key agreements such as Share Purchase
Agreements (SPAs), Concession Agreements, and Public-Private
Partnership (PPP) contracts.
- Vet all legal documents and submissions prior to presentation to the
Board, Cabinet Committee on Privatization (CCoP), or other relevant
bodies.
- Supervise and coordinate the work of external legal advisors and liaise
with Director Litigation on legal exposures and case backlogs.
- Provide policy and legislative input by reviewing, drafting, or proposing
amendments to relevant laws, regulations, and SOPs impacting
privatization.
- Advise senior leadership on legal implications of strategic and operational
decisions, ensuring sound governance and risk mitigation.
- Lead, mentor, and build the capacity of the internal legal team, promoting
a culture of legal excellence and continuous professional development
