Job Description

Purpose of the Position The Director – Legal and Regulatory Affairs shall lead the Authority's legal function by providing legal advice, overseeing legal operations, and ensuring that the Authority's activities, policies, contracts, and regulatory instruments comply with applicable laws, regulations, and governance frameworks. The Director shall support the Authority's legal interests, managing legal risks, and strengthening institutional governance in furtherance of the Authority's statutory mandate. Key Responsibilities Legal Advisory & Regulatory Support • Provide legal advice to management and business units on matters relating to the Authority's statutory functions, regulatory powers, contracts, procurement, employment, and administrative matters. • Review and provide legal vetting of policies, regulations, rules, guidelines, contracts, memoranda of understanding, and other legal instruments before approval or issuance. • Support the development and interpretation of legislation, regulatory frameworks, and legal opinions relevant to the Authority's mandate. Contract Management & Legal Operations • Oversee the drafting, review, negotiation, and administration of contracts, agreements, and other legal documents. • Ensure contractual arrangements adequately protect the Authority's legal and commercial interests. • Maintain effective legal documentation, contract repositories, and legal records. Litigation & Risk Management • Manage litigation, arbitration, dispute resolution, and legal proceedings involving the Authority. • Coordinate with external legal counsel and monitor legal cases to ensure timely and effective representation. • Identify legal risks arising from the Authority's operations and recommend appropriate mitigation measures. Governance & Compliance • Support the implementation of corporate governance frameworks and ensure compliance with applicable laws, regulations, and internal policies. • Assist in Board and committee matters, including legal review of agenda papers, resolutions, and governance documentation, where required. • Support legal compliance reviews, audits, and investigations relating to the Authority's operations. Stakeholder Management & Leadership • Liaise with government ministries, regulators, law enforcement agencies, courts, external legal advisors, and other stakeholders on legal matters. • Lead and develop the Legal Directorate by promoting professional excellence, knowledge sharing, and continuous improvement. • Provide guidance and supervision to legal officers and other members of the legal team. Qualifications • LLB/LLM or JD degree from a recognized institution.. • Active Bar membership is required. • Professional certifications or specialized training in corporate governance, arbitration, procurement law, or regulatory law will be an added advantage. Experience • Minimum 10 years of progressively responsible professional experience in legal practice, corporate law, commercial law, regulatory law, and public sector legal affairs. • Demonstrated experience in drafting and negotiating complex contracts, legal opinions, policies, and regulatory instruments. • Experience in litigation management, dispute resolution, and legal risk management. • Experience working with government organizations, regulatory authorities, autonomous bodies, international organizations, or large corporate entities will be preferred. • Proven experience leading legal teams and managing complex legal matters.
