Job Description

Purpose of the Position The Company Secretary shall support the effective governance and statutory functioning of the Authority by ensuring proper conduct of meetings, maintenance of official records, implementation and tracking of decisions, and compliance with applicable laws, regulations, and governance requirements. The role will provide professional advice to the Chairperson, Members, and senior management on governance, procedural, and statutory matters. Key Responsibilities • Manage secretariat functions for meetings of the Authority and other designated governance forums, including preparation of agendas, working papers, minutes, resolutions, and records of decisions. • Coordinate meetings with relevant stakeholders, ensure timely circulation of meeting materials, maintain decision registers, and monitor follow-up and implementation of approved decisions and directives. • Ensure compliance with applicable statutory, regulatory, and governance requirements and advise management on procedural and governance obligations. • Provide advice to the Chairperson, Members, and senior management on governance procedures, decision-making processes, delegated authorities, and institutional governance matters. • Maintain official records, minutes, resolutions, approvals, governance instruments, and other statutory documentation in an accurate, secure, and accessible manner. • Support the development and review of governance policies, charters, delegations of authority, terms of reference, and related institutional frameworks. • Liaise with Legal, senior management, government entities, regulators, and other relevant stakeholders on governance and statutory matters and prepare periodic governance and compliance reports. Education • Minimum Bachelor’s degree in Law, Corporate/Business Law, Business Administration, Public Administration, Finance, Commerce, or a related discipline from an HEC-recognized institution. • A Master’s degree or relevant professional qualification in Law, Corporate Governance, Chartered Accountancy, Cost & Management Accountancy, or Company Secretarial Practice shall be preferred. Experience • Minimum 10 years of professional experience in corporate governance, company secretarial practice, legal/regulatory affairs, board secretariat, or institutional governance. • Demonstrated experience in managing senior-level governance meetings, agendas, minutes, resolutions, statutory records, and decision tracking. • Experience in a public sector organization, statutory/autonomous body, regulatory authority, listed company, or large corporate organization will be preferred. • Sound understanding of corporate/statutory governance, regulatory compliance, and institutional decision-making processes.
